Citizens Bancorp Announces New Chief Executive
Nevada City, California, July 31, 2009. Kenneth E. Baker, Chairman of the Board of Citizens Bancorp (the Company) (OTCBB: CZNB), announced today that 36-year banking veteran Gary Gall has been named President / Chief Executive Officer of Citizens Bancorp and subsidiary, Citizens Bank of Northern California. Gall, whose career includes his former role as President / Chief Executive Officer of Western Sierra Bancorp, succeeds Judy Hess, who remains with the Bank as Chief Banking Officer working directly with Gall.
“It has been an honor to lead our Bank, along with our Board of Directors, through its growth and direction over the past six years,” said Hess. “With the severity of today’s economic times it became clear to the Board and myself that Gary Gall’s specific strengths and vast experience were needed to lead our Bank into the future. Having known Gary and Western Sierra Bancorp’s success in the past, makes me very excited to be a part of this dynamic team that will lead our Bank into the future.”

Gary Gall’s entire career has been devoted to community banking and he believes in the sustaining value it brings to local businesses, individuals and the community. Prior to his 13 years with Western Sierra he was President/CEO of Delta National Bank in Manteca for six years. During his tenure at Western Sierra Bancorp he led a dedicated team that grew assets from $50 million with four branches to over $1.2 billion and 31 branches within a multi-bank holding company environment. Under his leadership the bank successfully negotiated and completed the merger or acquisition of six other community banks between 1999 and 2005. Western Sierra, who joined NASDAQ in 1999, was also recognized nationally for performing in the top 5% of community banks in 2004. Gall’s depth of varied banking experience will be an asset to the Bank, our shareholders and our customers as we work through these unprecedented economic times. Gall has been a member of the Board of Trustees for Simpson University in Redding, CA since 1998, a Past President of the California Community Bankers, a charter member of the El Dorado County Boys and Girls Club and is a Past President of Cameron Park Rotary Club.

Founded in February 1995, Citizens Bank, headquartered in Nevada City, became a wholly owned subsidiary of the Company in 2003. The Bank has six branches in Nevada County including Grass Valley, Penn Valley, Lake of the Pines, Truckee and their flagship branch and corporate headquarters in Nevada City. The Bank has also expanded into Placer County with a branch in downtown Auburn.
